Upwell provides acquisition intelligence derived from publicly available government records — specifically Florida contractor license data published by the Florida Department of Business and Professional Regulation (DBPR). Our signal reports are designed to help independent sponsors, family offices, and search fund operators identify businesses that may be approaching a transition event.
Upwell signals are informational only. Nothing on this site or in our reports constitutes financial advice, investment advice, legal advice, or a recommendation to acquire or not acquire any business. Signals are derived from public records and algorithmic scoring — they do not constitute due diligence and should not replace it. You are solely responsible for your acquisition decisions.
Our data is sourced from public government databases. We make reasonable efforts to maintain accuracy, but we cannot guarantee that records are current, complete, or error-free. License data may lag real-world status by days or weeks depending on government update cycles. Use signals as a starting point for outreach, not as a definitive source of truth.

Upwell is currently in early access. The service is provided as-is without guarantees of uptime, data freshness, or feature availability. We may change, limit, or discontinue access at any time. Early access users will receive notice before any paid tier transitions.
The Upwell platform, scoring methodology, signal algorithms, and site design are our proprietary work. Underlying public records data (FL DBPR) is government-owned and publicly available. You may reference individual signals in your internal work product; bulk redistribution is prohibited without written agreement.
Your use of the site is also governed by our Privacy Policy.
To the maximum extent permitted by law, Upwell is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the service or reliance on our signals. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim (which, during early access, is zero).
You agree to indemnify and hold Upwell harmless from any claims, damages, or costs arising from your use of the service in violation of these Terms or applicable law.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Florida.
We may update these Terms as the product evolves. We will note the effective date at the top. Continued use after changes constitutes acceptance. For material changes, we will provide notice via email to registered users.
